Acceptance at the time of online or offline purchase is equivalent to the Beneficiary\u2019s signature and produces the same legal effects as signing a written contract.<\/p>\n  <\/div>\n\n  <h2 id=\"art1\" class=\"article\">Art. 1 \u2013 Parties<\/h2>\n  <p><strong>Provider<\/strong> (hereinafter the Provider, Coworkperativa, Coworkperativa.ro, Coworkperativa SRL): Coworkperativa SRL, Tax ID 43508470, fiscal attribute RO, J2020018116409, EUID ROONRC.J2020018116409, registered office: Str. Aurel Vlaicu no. 62\u201366, Sector 2, Bucharest, legally represented by the Administrator.<\/p>\n  <p><strong>Beneficiary<\/strong>: Any natural or legal person purchasing access to Coworkperativa spaces, either online (via www.coworkperativa.ro or the partner platform Thia.work) or directly through offline means provided by the Provider.<\/p>\n\n  <h2 id=\"art2\" class=\"article\">Art. 2 \u2013 Definitions<\/h2>\n  <p><strong>Coworkperativa<\/strong> \u2013 the Provider, i.e., Coworkperativa SRL, operator of the workspaces listed on www.coworkperativa.ro.<\/p>\n  <p><strong>Thia.work<\/strong> \u2013 the partner platform used for purchasing Coworkperativa services, generating access QR codes, and managing reservations.<\/p>\n  <p><strong>Beneficiary<\/strong> \u2013 the person (natural or legal) purchasing any Coworkperativa services (subscriptions, packages, day access, add-ons).<\/p>\n  <p><strong>User<\/strong> \u2013 the person (natural or legal) using any Coworkperativa services (subscriptions, packages, day access, add-ons).<\/p>\n  <p><strong>Coworkperativa Services<\/strong> \u2013 access to an office-type space operated by the Provider and use of the related facilities included in available packages (work area, internet, kitchen, meeting rooms, etc.).<\/p>\n  <p><strong>Access QR Code<\/strong> \u2013 unique, nominal, personal and non-transferable code issued via Thia.work, required to enter Coworkperativa spaces.<\/p>\n  <p><strong>Day Access \/ Subscription \/ Package<\/strong> \u2013 the service types offered by Coworkperativa, with duration and benefits as published on the website and on Thia.work.<\/p>\n  <p><strong>Day<\/strong> \u2013 calendar day starting at 00:00 and ending at 23:59.<\/p>\n  <p><strong>Month<\/strong> \u2013 a 30 (thirty) consecutive calendar-day period used to calculate subscriptions and packages.<\/p>\n  <p><strong>Days within a Month<\/strong> \u2013 the number of calendar days included in a package (e.g., 5 or 10 days) that the Beneficiary may use at random within the specific 30-day period. <em>Unused days do not roll over and are automatically forfeited upon expiry.<\/em><\/p>\n  <p><strong>House Rules<\/strong> \u2013 the set of conduct rules for using Coworkperativa spaces, an integral part of this Agreement.<\/p>\n  <p><strong>Force Majeure<\/strong> \u2013 any external, unforeseeable, absolutely insurmountable and unavoidable event preventing either party from performing its contractual obligations.<\/p>\n\n  <h2 id=\"art3\" class=\"article\">Art. 3 \u2013 Legal Nature of Services &#038; Coworkperativa\u2019s Obligations<\/h2>\n  <p>3.1. Coworkperativa provides hosting services in an office-type space intended solely for office activities, with access to related facilities and services (including internet, kitchen, meeting rooms and common areas).<\/p>\n  <p>3.2. These services do not constitute a lease within the meaning of the Civil Code and do not grant the Beneficiary a tenancy right over the space.<\/p>\n  <p>3.3. The Beneficiary acquires only a temporary right to use the spaces and facilities, limited to the period and package purchased.<\/p>\n  <p>3.4. Coworkperativa uses reasonable efforts to ensure optimal service quality and is responsible for providing the services in accordance with this Agreement and applicable Romanian law. In addition, Coworkperativa undertakes to:<\/p>\n  <ul>\n    <li>Warrant it has the legal right to provide the hosting services to the User;<\/li>\n    <li>Perform all required legal formalities regarding Health &#038; Safety in the common areas of Coworkperativa and comply with relevant legal provisions;<\/li>\n    <li>Perform necessary maintenance works resulting from normal wear and tear, excluding situations where damage is caused by improper user behavior;<\/li>\n    <li>Not abusively interrupt the services or access, without legal and\/or contractual grounds.<\/li>\n  <\/ul>\n\n  <h2 id=\"art4\" class=\"article\">Art. 4 \u2013 Space Access<\/h2>\n  <p>4.1. Access to Coworkperativa spaces is exclusively via active QR codes issued through the partner platform Thia.work. QR codes may be generated after an online purchase or, for offline purchases, directly by Coworkperativa through the same platform.<\/p>\n  <p>4.2. QR codes are generated and managed by Thia.work. The buying process, code issuance and delivery, and the platform terms of use are the exclusive responsibility of Thia.work. The Beneficiary accepts Thia.work\u2019s terms at purchase.<\/p>\n  <p>4.3. QR codes are nominal, personal, and non-transferable.<\/p>\n  <p>4.4. The User may enter\/exit the space and use the related facilities provided by Coworkperativa (common areas, internet, kitchen, meeting rooms) within the limits and duration of the purchased service (day access, subscription, or package), per the House Rules in Art. 6. Included free facilities may be used only in a normal and reasonable manner and without affecting other users\u2019 access.<\/p>\n  <p>4.5. Access without a valid, active QR code is not permitted.<\/p>\n\n  <h2 id=\"art5\" class=\"article\">Art. 5 \u2013 Included Services<\/h2>\n  <p>5.1. Depending on the package type, the Beneficiary may access: the work area; kitchen with coffee, tea, filtered water; high-speed wireless internet; meeting rooms per package and reservations.<\/p>\n  <p>5.2. Add-on services (equipment, catering, private events) are available for an extra fee.<\/p>\n\n  <h2 id=\"art6\" class=\"article\">Art. 6 \u2013 Use of Space &#038; House Rules<\/h2>\n  <p>By purchasing any Coworkperativa service (Day Access, Subscriptions, Packages, or Add-ons), any paying party automatically becomes a User and must use the space responsibly and civilly, in compliance with this Agreement, the House Rules and applicable law.<\/p>\n  <p>Users shall not use the spaces for any purpose other than those stipulated herein (work\/meetings\/events\/workshops).<\/p>\n\n  <h3>6.1. House Rules<\/h3>\n\n  <h3>6.1.1. General User Obligations<\/h3>\n  <ul>\n    <li>Use the spaces responsibly and lawfully, in line with this Agreement and the House Rules.<\/li>\n    <li>Respect all users and their right to work; maintain civil language; no abusive or disturbing behavior.<\/li>\n    <li>Inform and ensure guests\/visitors comply with the rules.<\/li>\n    <li>Keep both personal and common areas clean; leave the place tidy when leaving.<\/li>\n    <li>Follow Coworkperativa\u2019s posted or officially communicated instructions.<\/li>\n  <\/ul>\n\n  <h3>6.1.2. Access Rules<\/h3>\n  <ul>\n    <li>Access exclusively with your personal QR each time you enter.<\/li>\n    <li>QR codes are personal and non-transferable; sharing them is prohibited.<\/li>\n    <li>Do not facilitate access for others without Coworkperativa\u2019s consent; visitors are allowed only when accompanied by the Beneficiary and respecting these rules.<\/li>\n    <li>Report lost\/compromised cards\/codes immediately.<\/li>\n    <li>Keep the main door closed; last person to leave checks doors\/windows\/lights\/AC and any personally used equipment.<\/li>\n  <\/ul>\n\n  <h3>6.1.3. Work Areas, Noise &#038; Conduct<\/h3>\n  <ul>\n    <li>Maintain low noise in open-space; use booths or designated areas for long calls.<\/li>\n    <li>Headphones are mandatory for audio\/video; keep volume non-disturbing.<\/li>\n    <li>Alcohol only at Coworkperativa-organized\/approved events.<\/li>\n    <li>Smoking traditional cigarettes is prohibited indoors; use designated outdoor areas.<\/li>\n    <li>E-cigarettes: permitted indoors only in designated areas and only with consent of everyone present in those areas.<\/li>\n    <li>Strict cleanliness; return dishes to the kitchen.<\/li>\n    <li>Dry waste to office bins; wet waste in the kitchen only.<\/li>\n    <li>No strong-smelling foods in work areas; avoid overpowering perfumes; maintain personal hygiene.<\/li>\n    <li>Reserved seats: occupying without a valid reservation is prohibited.<\/li>\n    <li>Flexible passes: do not leave personal items after your session. Coworkperativa is not liable for unattended belongings.<\/li>\n  <\/ul>\n\n  <h3>6.1.4. Phone Booths &#038; Meeting Rooms<\/h3>\n  <ul>\n    <li>Booths are for calls, video meetings, or short 1-to-1s (in two-seat booths) only.<\/li>\n    <li>Max booth time: 1 hour per person\/meeting\/day; consecutive or extended use by the same person(s) is prohibited.<\/li>\n    <li>Booths cannot be pre-booked and have no extra cost.<\/li>\n    <li>No food\/drinks (coffee, tea, soft drinks, etc.) inside booths.<\/li>\n    <li>Booths are not regular workspaces.<\/li>\n    <li>Meeting rooms (where available) require booking and must be vacated on time; air the room, take your items, clean whiteboard\/table. Overtime may cancel access and\/or incur extra costs.<\/li>\n  <\/ul>\n\n  <h3>6.1.5. Kitchen &#038; Common Areas<\/h3>\n  <ul>\n    <li>Bring used dishes to the kitchen; place them in the dishwasher as instructed.<\/li>\n    <li>Food in the fridge is allowed only until the end of the same day; label if needed.<\/li>\n    <li>Avoid wasting consumables provided by Coworkperativa.<\/li>\n    <li>Milk: keep refrigerated and within shelf life; don\u2019t open a new box if another valid one is open.<\/li>\n  <\/ul>\n\n  <h3>6.1.6. Restrooms<\/h3>\n  <ul>\n    <li>Cleanliness is mandatory; report issues immediately.<\/li>\n    <li>Do not stand on the toilet seat; keep the area clean.<\/li>\n    <li>Only toilet paper in the bowl; other waste goes to bins.<\/li>\n    <li>Sinks are for washing hands only.<\/li>\n    <li>Use provided hygiene products reasonably.<\/li>\n  <\/ul>\n\n  <h3>6.1.7. Outdoor Areas<\/h3>\n  <ul>\n    <li>Use only designated outdoor areas.<\/li>\n    <li>Keep them clean; remove all items after use.<\/li>\n  <\/ul>\n\n  <h3>6.1.8. Internet &#038; Equipment<\/h3>\n  <ul>\n    <li>Connect to Wi-Fi per instructions; compromising network security is prohibited.<\/li>\n    <li>No intentional overloading of the network or power (e.g., crypto mining, attacks, unauthorized access attempts).<\/li>\n    <li>Use shared printers\/equipment as instructed; extra consumables may be charged.<\/li>\n  <\/ul>\n\n  <h3>6.1.9. Public Network &#038; Minimal Security<\/h3>\n  <p><strong>The internet access network (Wi-Fi\/ethernet)<\/strong> in Coworkperativa spaces is <u>public\/shared<\/u> and available to all entities (natural persons or companies) operating in the space. Coworkperativa does not provide enterprise-grade dedicated isolation (e.g., per-user\/company VLAN, per-client firewall, custom QoS) and does not ensure end-to-end encryption at the network layer. The <u>technical solution has a minimal security level<\/u>, appropriate for a general coworking environment.<\/p>\n\n  <h3>6.1.10. User Responsibility<\/h3>\n  <p>If the User requires enhanced data-transfer security, it is <u>exclusively the User\u2019s responsibility<\/u> to protect themselves via personal hardware and\/or software means (e.g., their own VPN, personal firewall, private hotspot\/tethering, device encryption, strong passwords, regular security updates, etc.). Coworkperativa is exempt from liability for cybersecurity incidents, data loss, interception or unauthorized access arising from the use of a public\/shared network.<\/p>\n\n  <h3>6.1.11. Guests, Pets &#038; Events<\/h3>\n  <ul>\n    <li>Guests require prior approval and must be accompanied by the Beneficiary, who is liable for them; fees\/limits may apply.<\/li>\n    <li>Pets are allowed only where explicitly announced; owners are fully responsible for hygiene and behavior.<\/li>\n    <li>Private events and\/or catering require prior approval and may incur separate fees.<\/li>\n  <\/ul>\n\n  <h3>6.1.12. Prohibited Activities<\/h3>\n  <ul>\n    <li>Sharing QR codes, unauthorized access, or bringing third parties without consent.<\/li>\n    <li>Spam, junk mail, pyramid schemes, illegal contests or gambling.<\/li>\n    <li>Distributing defamatory, obscene or illegal materials; slander, aggression, abuse, or illegal behavior; harassment, discrimination, or threats.<\/li>\n    <li>Infringing intellectual property rights.<\/li>\n    <li>Using or spreading harmful digital materials (viruses, spyware, etc.).<\/li>\n    <li>Collecting personal data without consent; creating\/using false identities.<\/li>\n    <li>Excessive\/unreasonable use of shared resources (bandwidth, power, space) affecting others.<\/li>\n    <li>Blocking access ways or emergency exits, hallways or elevators.<\/li>\n    <li>Storing flammable, toxic or explosive materials.<\/li>\n    <li>Intentional damage to the space, equipment or Coworkperativa property.<\/li>\n  <\/ul>\n\n  <h3>6.1.13. Non-Compliance &#038; Sanctions<\/h3>\n  <p>Non-compliance may lead to warnings, extra charges, access cancellation and\/or future bans, as per Art. 7 \u2013 Penalties &#038; Sanctions.<\/p>\n\n  <h2 id=\"art7\" class=\"article\">Art. 7 \u2013 Penalties &#038; Sanctions<\/h2>\n  <p>7.1. For breaches of this Agreement, the House Rules or posted rules, the Provider may unilaterally cancel the Beneficiary\u2019s services without refund and without damages.<\/p>\n  <p>7.2. The Beneficiary may be banned from future purchases at Coworkperativa, at the Provider\u2019s discretion.<\/p>\n  <p>7.3. Sanctions do not limit the Provider\u2019s right to seek additional damages for direct losses caused by the Beneficiary.<\/p>\n\n  <h2 id=\"art8\" class=\"article\">Art. 8 \u2013 Liability Limitations<\/h2>\n  <p><strong>8.1. Limitation and exclusion of compensation for incidental, consequential, special or other damages:<\/strong><\/p>\n  <p>To the maximum extent permitted by law, Coworkperativa and its subsidiaries, affiliates, agents, shareholders, users, representatives, employees and successors, past, present or future, jointly or individually, shall in no event be liable for incidental, indirect, punitive, consequential, special or other damages (including but not limited to lost profits, loss of confidential information, business interruption, bodily injury, inability to perform obligations) arising out of or in any way related to the use of or inability to use Coworkperativa\u2019s services, or to the provision or failure to provide such services, under or arising from this Agreement. For direct damages, you may obtain compensation up to the value of the purchased service.<\/p>\n  <p>8.2. Coworkperativa provides office-type hosting services at reasonable standards suited to their purpose. It does not guarantee absolute continuity of utilities or third-party services (including internet, electricity, water). Fortuitous interruptions do not entail liability.<\/p>\n  <p>8.3. Coworkperativa\u2019s liability is limited to cases where the Beneficiary paid for access but, due solely to the Provider\u2019s fault, could not use the service during the paid period. In such cases, compensation shall not exceed the value of paid and unused services.<\/p>\n  <p>8.4. Coworkperativa is not liable for Thia.work platform functioning, online purchasing, or QR code generation\/delivery, which fall under Thia.work\u2019s exclusive responsibility.<\/p>\n  <p>8.5. Any other damages or claims invoked by the Beneficiary, including lost profit, commercial prejudice or reputational harm, are excluded.<\/p>\n  <p>8.6. The Beneficiary declares they have read and understood the terms of use and assume using Coworkperativa spaces under these conditions before making any payment.<\/p>\n  <p><strong>8.x. Public networks &#038; open spaces.<\/strong> Without prejudice to the above limitations, the Beneficiary\/User accepts the inherent risks of using a public\/shared network and of operating in open\/common spaces. Coworkperativa is not responsible for compromised data confidentiality, traffic interception, unauthorized access to the User\u2019s devices, or disclosure of information arising from conversations held in common areas.<\/p>\n\n  <h2 id=\"art9\" class=\"article\">Art. 9 \u2013 Personal Data Processing<\/h2>\n  <p>9.1. <strong>Data Controllers<\/strong>: Personal data are processed by Coworkperativa SRL and the partner platform Thia.work, as joint controllers.<\/p>\n  <p>9.2. <strong>Data processed by Coworkperativa<\/strong>: name, email, phone, billing data, and data required for direct marketing communications (newsletter, offers, marketing).<\/p>\n  <p>9.3. <strong>Data processed by Thia.work<\/strong>: data required for online purchases, QR code generation and delivery, user account management, and access validation.<\/p>\n  <p>9.4. <strong>Responsibilities<\/strong>: Coworkperativa is solely responsible for processing related to marketing and direct communications; Thia.work is solely responsible for processing related to purchases and space access.<\/p>\n  <p>9.5. <strong>Beneficiary rights<\/strong>: access, rectification, erasure, restriction, objection, portability. Exercise these by sending a written request to Coworkperativa at <a href=\"mailto:office@coworkperativa.ro\">office@coworkperativa.ro<\/a> for data processed by Coworkperativa, and to Thia.work at <a href=\"mailto:hello@thia.work\">hello@thia.work<\/a> for data processed by Thia.work.<\/p>\n  <p>9.6. <strong>CCTV<\/strong>: If spaces are video-surveilled, Coworkperativa is the sole controller for this processing. The Beneficiary has no direct right of access to recordings; in case of incidents or criminal complaints, footage may be provided only to competent authorities.<\/p>\n\n  <h2 id=\"art10\" class=\"article\">Art. 10 \u2013 Payment Terms &#038; Conditions<\/h2>\n  <p>10.1. Service prices are public and displayed on www.coworkperativa.ro and\/or on www.thia.work. The Provider may change prices\/offers prospectively without user consent. Changes do not affect already paid services and have no retroactive effect. If the Beneficiary does not accept new terms for future purchases\/renewals, they may unilaterally terminate before the new period.<\/p>\n  <p>10.2. Price changes or temporary offers will be communicated by email or on www.coworkperativa.ro at least five (5) days before taking effect.<\/p>\n  <p>10.3. Standard packages listed on the site may be purchased:\n    <br>a) Online, by card, via Thia.work (QR code issuance is automatic after payment);\n    <br>b) Offline, by bank transfer, based on the Provider\u2019s tax invoice.\n  <\/p>\n  <p>10.4. Custom services\/packages are not public on the site and may be purchased only offline, by bank transfer, under this Agreement and the issued invoice. Specific commercial terms are included in the offer\/addendum.<\/p>\n  <p>10.5. <strong>Invoicing &#038; currency<\/strong>:\n    <br>a) <em>Online card payments.<\/em> Invoices are issued automatically and sent to the email linked to the user account and are available in the Thia.work account.\n    <br>b) <em>Bank transfer.<\/em> Payments by transfer are made based on the Provider\u2019s invoice emailed on the issue date; the due date is set in Art. 10.6.\n    <br>c) <em>Currency &#038; FX.<\/em> Invoices are issued in RON; EUR references use the BNR LEI\/EUR exchange rate on the payment date.\n  <\/p>\n  <p>10.6. <strong>Standard due date for transfers<\/strong>: three (3) business days from invoice issue, unless otherwise agreed in writing.<\/p>\n  <p>10.7. <strong>Payment account &#038; delivery proof<\/strong>: Payment must be made only to the Provider\u2019s bank account indicated on the invoice. Email delivery of the invoice constitutes proof of communication; the due date runs from the email delivery date.<\/p>\n\n  <h2 id=\"art11\" class=\"article\">Art. 11 \u2013 No Refund &#038; Withdrawal (B2C\/B2B)<\/h2>\n  <p>11.1. <strong>General rule \u2013 non-refundable products.<\/strong> All Coworkperativa products\/services (including day access, day-packages, subscriptions, meeting-room hours and customized packages) are non-refundable after purchase\/activation. Services imply capacity allocation (pre-reservation); once purchased\/activated, capacity becomes unavailable to others for the relevant period.<\/p>\n  <p>11.2. <strong>Service start (definition &#038; evidence).<\/strong> For online card or offline bank-transfer purchases by consumers, the Beneficiary requests immediate activation and agrees that once performance begins they lose the legal right of withdrawal. Performance starts at the first of the following (\u201cT0\u201d):<\/p>\n  <ul>\n    <li>the active QR code is issued\/attached to the account and\/or emailed;<\/li>\n    <li>a resource with a fixed time slot (e.g., meeting room) is confirmed, blocking capacity;<\/li>\n    <li>for subscriptions\/day-packages, order confirmation and product activation in the account, which allocates\/blocks capacity within its 30-day validity window\u2014independent of the moment of first use (first scan\/check-in).<\/li>\n  <\/ul>\n  <p>These moments are automatically logged by the partner platform (Thia.work) and constitute evidence of performance start. Lack of first use\/scan does not delay T0 and does not confer withdrawal or refund, per Art. 11.4.<\/p>\n  <p>11.3. <strong>Legal consequence.<\/strong> Since the Beneficiary requests immediate activation and is informed that the right of withdrawal is lost from T0, any amount paid becomes non-refundable after T0. The rule also applies to capacity-allocation products (pre-reservation) where the purchase blocks availability for others.<\/p>\n  <p>11.4. <strong>No-show \/ non-use.<\/strong> Non-use, no-show or partial use within the validity period grants no right to refund, roll-over or compensation.<\/p>\n  <p>11.5. <strong>Operational exceptions<\/strong> (commercial gesture, at the Provider\u2019s discretion). In exceptional, documented situations (e.g., Provider-attributable technical unavailability preventing performance), Coworkperativa may, at its discretion, offer an alternative (e.g., rescheduling within available slots or internal credit) without being obliged to refund and without exceeding the value of unused services.<\/p>\n  <p>11.6. <strong>B2B.<\/strong> For B2B clients, all products\/services are firm and non-refundable from invoice\/confirmation, per agreed commercial policies (including customized packages). Consumer withdrawal rights do not apply to B2B relations.<\/p>\n\n  <h2 id=\"art12\" class=\"article\">Art. 12 \u2013 Term &#038; Termination<\/h2>\n  <p>12.1. <strong>Term:<\/strong> This Agreement is valid throughout the period of the Beneficiary\u2019s purchased services.<\/p>\n  <p>12.2. <strong>Termination:<\/strong><\/p>\n  <ul>\n    <li>a) upon expiry of the Day Access, Subscription, Package or Add-on Services;<\/li>\n    <li>b) for non-payment;<\/li>\n    <li>c) by Coworkperativa\u2019s unilateral termination for breach of this Agreement or the House Rules;<\/li>\n    <li>d) by the Beneficiary\u2019s unilateral termination, without refund;<\/li>\n    <li>e) in case of force majeure, per Art. 14, including suspension and the termination right under Art. 14.3.<\/li>\n  <\/ul>\n  <p>12.3. <strong>Renewal:<\/strong> Monthly recurring subscriptions auto-renew for successive 30-day periods based on the Beneficiary\u2019s payment.<\/p>\n\n  <h2 id=\"art13\" class=\"article\">Art. 13 \u2013 Partial Invalidity<\/h2>\n  <p>If any provision or portion of this Agreement proves to be incorrect, illegal or unenforceable for any reason, in whole or in part, the remaining provisions shall not be affected and shall remain in force to the maximum extent permitted by law.<\/p>\n\n  <h2 id=\"art14\" class=\"article\">Art. 14 \u2013 Force Majeure<\/h2>\n  <p>14.1. <strong>Force majeure.<\/strong> \u201cForce majeure\u201d means an external, unforeseeable, absolutely insurmountable and unavoidable event preventing contractual performance without fault. Examples include but are not limited to: natural disasters, war, terrorism, riots, embargoes, government acts (including restrictions causing closures\/limited access), epidemics\/pandemics and related measures, major utility outages or public infrastructure failures, extended unavailability of essential third-party networks\/services. Personal illness\/accidents do not constitute force majeure unless general official measures make performance objectively impossible. Events attributable to the invoking party cannot be qualified as force majeure.<\/p>\n  <p>14.2. The party invoking force majeure must notify the other within 5 business days and take all possible measures to limit consequences.<\/p>\n  <p>14.3. If the event does not cease within 30 days, either party may notify termination by operation of law without damages.<\/p>\n  <p>14.4. <strong>Effects.<\/strong> During force majeure, affected obligations are suspended without liability, penalties, or damages. Validity of affected subscriptions\/packages is extended by at least the suspension period.<\/p>\n\n  <h2 id=\"art15\" class=\"article\">Art. 15 \u2013 Confidentiality<\/h2>\n  <p>15.1. By the nature of the services, a party may gain access to confidential information (business information, trade secrets, technical details) belonging to the other party. Both parties agree to keep such information confidential and not to disclose or use it. Such information remains the exclusive property of the disclosing party; the receiving party acquires no rights over it.<\/p>\n  <p><strong>Conversations in open areas.<\/strong> Coworkperativa spaces include common and\/or open areas; therefore, conversations in these areas may be perceived by other users. <u>Maintaining confidentiality<\/u> is the User\u2019s responsibility (e.g., use phone booths\/meeting rooms when possible, avoid disclosing sensitive information in common areas, use NDAs with third parties). Coworkperativa is <u>exempt from any liability<\/u> for disclosures resulting from the open nature of the space.<\/p>\n\n  <h2 id=\"art16\" class=\"article\">Art. 16 \u2013 Governing Law &#038; Disputes<\/h2>\n  <p>16.1. This Agreement is governed by Romanian law.<\/p>\n  <p>16.2. Disputes shall first be settled amiably; failing that, they shall be referred to the competent courts in Bucharest.<\/p>\n\n  <h2 id=\"final-note\" class=\"article\">Final Note<\/h2>\n  <p>This document constitutes the Framework Service Agreement and includes the Terms and House Rules for using Coworkperativa spaces.
